1. What Are Campaign Services?

Campaign Services ("Landingpage Boost") allow businesses and brands to purchase promotional content from verified Instagram creators on the ThemePages.ai platform.

Unlike Page Transfers, Campaign Services do not involve the sale or transfer of account ownership. Instead, Creators produce and publish promotional content on their existing pages on behalf of the Buyer.

Campaign deliverables may include, but are not limited to:

• Instagram Reels
• Instagram Posts (single or carousel)
• Instagram Stories
• Caption copywriting and hashtag strategy
• Analytics and performance reporting

2. Parties Involved

• "Buyer" refers to the brand, business, or individual purchasing a campaign to promote their product, service, or landing page.
• "Creator" refers to the Instagram page owner who delivers the promotional content as part of the campaign.
• "ThemePages" refers to ThemePages.ai, operated by Eko Growth LLC, acting as platform facilitator and escrow agent.

3. Booking & Payment

• All campaign bookings are processed through ThemePages.ai's secure checkout.
• Payment is collected at the time of booking and held in escrow.
• Funds are released to the Creator only after successful delivery and Buyer confirmation (or after the review window expires).
• Platform fees, if applicable, will be clearly disclosed before checkout.

4. Campaign Execution & Timing

• Campaigns typically start within 24 hours of payment confirmation, unless otherwise agreed.
• The Creator is responsible for delivering all agreed-upon content within the specified timeframe.
• If a Creator fails to deliver within the agreed timeframe, the Buyer may request a full refund or dispute resolution.
• Campaign duration and posting schedule will be outlined in the campaign details before purchase.

5. Cancellation Policy

Buyers may cancel a campaign booking under the following conditions:

• Within 24 hours of booking: Free cancellation with full refund.
• After 24 hours but before campaign start: Partial refund at ThemePages' discretion.
• After campaign has started: No refund, unless Creator fails to deliver as agreed.

Creators who repeatedly cancel confirmed bookings may face account suspension.

6. Content Requirements & Restrictions

Buyers must provide content that complies with the following:

• No adult, explicit, or sexually suggestive content.
• No illegal products, services, or activities.
• No misleading claims, fake testimonials, or deceptive advertising.
• No content that infringes on third-party intellectual property rights.
• No hate speech, harassment, or discriminatory content.
• Must comply with Instagram's Community Guidelines and Terms of Service.

Creators reserve the right to reject content that violates these guidelines. ThemePages may terminate campaigns that breach content policies without refund.

7. Delivery & Confirmation

• Once the Creator publishes the agreed content, they will mark the campaign as "Delivered" on the platform.
• The Buyer has 72 hours to review and confirm successful delivery.
• If the Buyer does not respond within 72 hours, delivery is automatically confirmed and funds are released to the Creator.
• If the Buyer disputes delivery, ThemePages will review evidence and make a final determination.

8. Performance Disclaimer

ThemePages and Creators do not guarantee specific results from campaigns, including but not limited to:

• Number of views, likes, comments, or shares.
• Follower growth or engagement rates.
• Website traffic, conversions, or sales.
• Return on investment (ROI) or revenue increases.

Campaign performance depends on many factors outside the Creator's control, including content quality, audience relevance, timing, and market conditions. Buyers acknowledge this inherent variability when purchasing campaigns.

9. Content Ownership & Usage Rights

• The Buyer retains ownership of any original assets (logos, images, copy) provided to the Creator.
• The Creator retains ownership of the final produced content unless otherwise specified in the campaign agreement.
• If "Full usage rights" is included in the campaign, the Buyer receives a perpetual, non-exclusive license to use the content.
• Neither party may resell or sublicense content without written consent from the other party.

10. Refunds for Campaign Services

Refunds may be issued under the following circumstances:

• Creator fails to deliver any content within the agreed timeframe.
• Delivered content significantly deviates from the agreed campaign scope.
• Creator's account is suspended or deleted before campaign completion.
• Technical issues on ThemePages' platform prevent campaign execution.

Refund requests must be submitted within 7 days of the scheduled campaign end date. ThemePages reserves final discretion on all refund decisions.

11. Creator Obligations

By offering Campaign Services, Creators agree to:

• Accurately represent their audience demographics and engagement metrics.
• Deliver content that meets the quality standards shown in their portfolio.
• Disclose sponsored content as required by applicable laws (e.g., FTC guidelines).
• Not use bots, fake engagement, or artificial inflation tactics.
• Maintain the posted content for the agreed duration (minimum 30 days unless otherwise specified).

12. Limitation of Liability

ThemePages is not liable for:

• Campaign performance or business outcomes.
• Actions taken by Instagram or other platforms (e.g., content removal, account restrictions).
• Disputes arising from miscommunication between Buyer and Creator.
• Loss of revenue, reputation, or opportunity resulting from campaigns.

Maximum liability for Campaign Services is limited to the amount paid for the specific campaign in question.

13. Governing Terms

These Campaign Services Terms are supplemental to the main Terms of Service and Escrow Agreement. In case of conflict, the main Terms of Service shall prevail. All disputes are subject to the jurisdiction of Wyoming, USA.

1. Introduction

This Escrow Agreement ("Agreement") is entered into by:

• Buyer: The user initiating payment for a digital asset (e.g., an Instagram page)
• Seller: The user agreeing to deliver the asset
• ThemePages.ai ("Escrow Agent"): A neutral third party facilitating a secure transaction

By initiating an escrow transaction on ThemePages.ai, both Buyer and Seller agree to the terms of this Agreement, the Terms of Service, and the Privacy Policy.

2. Scope of the Agreement

This Agreement governs the use of ThemePages.ai's escrow system for the purchase and delivery of digital Instagram theme pages or similar digital properties.

ThemePages.ai acts solely as a secure facilitator, not a legal broker, marketplace operator, or owner of any digital asset transacted.

ThemePages acts as a neutral facilitator and not as a representative of either party. ThemePages:

• Holds the payment securely
• Monitors delivery timeframes
• Supports dispute resolution based on platform logs

6. Delivery & Confirmation

• Seller must deliver within 24 hours of buyer payment
• Buyer must confirm delivery within 72 hours, or request dispute
• If no action is taken by the buyer within 72h after delivery:→ ThemePages automatically releases funds to the Seller

7. Dispute Resolution

If a buyer does not receive valid access, or a seller believes the buyer is being dishonest:

• A dispute must be initiated via in-app support
• ThemePages will review all timestamps, messages, and delivery logs
• The Escrow Agent's decision will be final and binding

ThemePages reserves the right to:

• Freeze funds until resolution
• Request identity verification
• Deny payouts in cases of fraud, abuse, or clear ToS violation

8. Fees & Payment Terms

• ThemePages may charge escrow or platform fees, disclosed before transaction
• Funds are held in USD (or converted equivalent) via Stripe, Wise or partner processors
• Once released, payouts are final and non-refundable unless criminal fraud is proven
• ThemePages is not responsible for any exchange rate loss or external fees

9. Prohibited Use

Users may not:

• Circumvent ThemePages escrow by offering outside payments
• Deliver fake, renamed, or compromised accounts
• Claim non-delivery without evidence
• Use escrow for illegal, adult, hacked, or restricted content

Violations lead to suspension, refund blocks, legal escalation, or blacklisting.

10. Limitation of Liability

ThemePages is not responsible for:

• Assets transferred outside of platform systems
• Loss of access after buyer confirmation
• Delays caused by Stripe, banking networks, or third-party tools

Total liability is limited to the amount of escrow funds held for the disputed transaction.

11. Termination & Force Majeure

ThemePages may cancel or freeze any escrow process:

• If fraudulent, abusive, or suspicious behavior is detected
• If the platform is impacted by legal orders, force majeure, or technical system failure

In such cases, funds may be temporarily frozen until further notice.

12. Legal Jurisdiction

This Agreement is governed by the laws of Wyoming, USA.

Disputes shall be handled exclusively through arbitration or court of the chosen jurisdiction, unless otherwise required by local law.

13. Binding Agreement

By clicking "Start Escrow" or sending payment, both parties confirm:

• Full acceptance of this Escrow Agreement
• That all representations are honest and accurate
• That they waive the right to dispute resolved matters outside the platform
